Terms of Service - DreamWaifu

1. Acceptance of Terms

By accessing or utilizing DreamWaifu ("the Service"), you ("the User") hereby consent to be irrevocably bound by these Terms of Service ("Terms"). Should you, the User, find yourself in a state of disagreement with these Terms, you are hereby proscribed from accessing or utilizing the Service. Continued utilization of the Service shall be construed as an unequivocal acceptance of these Terms, as they may be amended, altered, or otherwise modified from time to time. These Terms, therefore, constitute a legally binding agreement between the User and DreamWaifu, enforceable to the fullest extent permitted by law.

2. Description of Service

The Service provides access to a proprietary artificial intelligence platform, the functionalities of which are subject to change, modification, or termination without prior notification. The Service may encompass, but is not limited to, data processing, machine learning model access, and computational resource allocation. The specific features, availability, and parameters of the Service shall be determined at the sole and absolute discretion of DreamWaifu, and the User hereby acknowledges and agrees to this condition.

3. User Accounts

Account Creation: To access specific features or functionalities of the Service, Users are required to create an account. Users must provide accurate, truthful, and complete information during the registration process. DreamWaifu reserves the right, in its sole and absolute discretion, to refuse the creation of accounts or to terminate existing accounts, without providing any reason or justification.
Account Responsibility: Users bear the sole and exclusive responsibility for maintaining the confidentiality of their account credentials, including usernames and passwords, and are fully liable for all activities that transpire under their account, whether authorized or unauthorized. Users are obligated to notify DreamWaifu immediately upon becoming aware of any unauthorized access to their account or any other breach of security.
Account Termination by User: Users possess the right to terminate their accounts at any time, subject to the provisions of Section 9 herein. Requests for account termination must be submitted through the designated channels provided by DreamWaifu. Notwithstanding such termination, DreamWaifu retains the unfettered right to retain User data for an indefinite period.
Account Suspension/Termination by DreamWaifu: DreamWaifu reserves the absolute and unconditional right to suspend or terminate User accounts at any time, for any reason whatsoever, and without any obligation to provide prior notice. This includes, but is not limited to, instances of User violation of these Terms, suspected fraudulent activity, or any conduct that DreamWaifu, in its sole and absolute discretion, deems detrimental or harmful to the Service or its user base. DreamWaifu shall not be held liable for any loss or damage, whether direct, indirect, or consequential, arising from such suspension or termination.

4. Use of Service

Acceptable Use: Users hereby agree to utilize the Service exclusively for lawful purposes and in strict accordance with these Terms. Users are strictly prohibited from using the Service in any manner that could potentially damage, disable, overburden, or impair the Service, or interfere with any other party's use and enjoyment of the Service.
Prohibited Conduct: Users are expressly and strictly prohibited from engaging in any of the following activities:
1. Attempting to gain unauthorized access to any portion of the Service, including but not limited to, other users' accounts, servers, or networks.
2. Transmitting any viruses, malware, or other forms of harmful code that may disrupt, damage, or compromise the integrity of the Service or any connected systems.
3. Engaging in any activity that could disrupt the normal operation of the Service, including, but not limited to, denial-of-service attacks, spamming, or any other form of network interference.
4. Utilizing the Service to collect or harvest personally identifiable information (PII) of other users without obtaining their explicit and informed consent.
5. Reverse engineering, decompiling, disassembling, or otherwise attempting to extract the source code or underlying algorithms of any aspect of the Service.
6. Using the service for any illegal activity.
Data Usage: Users bear the sole and exclusive responsibility for the data they input into the Service. DreamWaifu shall not be held responsible for the accuracy, quality, legality, or integrity of User-provided data. Users hereby grant DreamWaifu a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display User data for the purpose of providing, maintaining, and improving the Service, including, but not limited to, the training of machine learning models. This license shall survive any termination of these Terms.

5. Intellectual Property

Service Ownership: The Service and all its constituent elements, including but not limited to software, algorithms, code, text, graphics, logos, trademarks, and other intellectual property, are the exclusive property of DreamWaifu or its licensors, and are protected by applicable intellectual property laws, including but not limited to copyright, trademark, and trade secret laws.
Limited License: DreamWaifu grants Users a limited, non-exclusive, non-transferable, revocable license to access and utilize the Service solely for their internal business purposes, subject to strict compliance with these Terms. This license does not confer any ownership rights upon the User.
Restrictions: Users are strictly prohibited from engaging in any of the following activities:
1. Modifying, copying, reproducing, or creating derivative works based upon the Service, in whole or in part.
2. Distributing, transferring, sublicensing, leasing, lending, or otherwise making the Service or any portion thereof available to any third party, whether for commercial gain or otherwise.
3. Removing, obscuring, or altering any copyright, trademark, or other proprietary notices from the Service.

6. Fees and Payment

Subscription Fees: Access to certain features or functionalities of the Service may require the payment of subscription fees. The amount and structure of such fees are subject to change at any time, without prior notice, at the sole and absolute discretion of DreamWaifu. Users are responsible for reviewing the current fee schedule.
Payment Terms: Users agree to pay all applicable fees in accordance with the payment terms presented at the time of subscription or purchase. Failure to remit payment in a timely manner may result in the suspension or termination of access to the Service. DreamWaifu reserves the right to pursue all available legal remedies to recover any unpaid fees.
No Refunds: All fees paid by Users are non-refundable, except as expressly provided in these Terms or as required by applicable law. DreamWaifu, in its sole and absolute discretion, may offer refunds or credits in certain exceptional circumstances, but is under no obligation to do so.
Automatic Renewal: Subscriptions may be configured to automatically renew at the end of the applicable subscription period. Users hereby authorize DreamWaifu to charge the applicable fees to their designated payment method on a recurring basis. Users may cancel the automatic renewal feature, but such cancellation will only become effective at the end of the then-current billing period. No partial refunds will be provided for any unused portion of a subscription.
Price Changes: DreamWaifu reserves the unequivocal right to modify subscription fees at any time, without prior notice. While DreamWaifu may attempt to provide reasonable notice of any fee changes, failure to provide such notice shall not invalidate the effectiveness of the change. A User's continued use of the Service following the effective date of any fee change shall be deemed as their express acceptance of the new fees.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DREAMWAIFU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. DREAMWAIFU MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE SERVICE OR ANY DATA PROCESSED, TRANSMITTED, OR STORED BY THE SERVICE. USER'S USE OF THE SERVICE IS AT THEIR SOLE AND ABSOLUTE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DREAMWAIFU HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DREAMWAIFU BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE, EVEN IF DREAMWAIFU HAS BEEN EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL DREAMWAIFU'S TOTAL, AGGREGATE LIABILITY TO USER FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE AMOUNT ACTUALLY PAID BY USER FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. USER ACKNOWLEDGES AND AGREES THAT THESE LIMITATIONS OF LIABILITY ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN BETWEEN USER AND DREAMWAIFU.

9. Termination

Termination by DreamWaifu: DreamWaifu reserves the absolute and unconditional right to terminate these Terms and/or User's access to the Service at any time, for any reason whatsoever, without any obligation to provide prior notice or justification. Upon termination, User's right to access and utilize the Service shall immediately and automatically cease.
Termination by User: User may terminate these Terms by canceling their account through the designated channels provided by DreamWaifu. Termination by User does not relieve User of any obligation to pay any outstanding fees or charges that may be owed to DreamWaifu.
Effect of Termination: Upon the termination of these Terms, all licenses granted to User hereunder shall immediately terminate, and User must forthwith cease all use of the Service. The provisions of Sections 4, 5, 6, 7, 8, 9, 10, and 11, as well as any other provisions that, by their nature, are intended to survive termination, shall remain in full force and effect following any termination of these Terms.
Data Retention Upon Termination: Upon termination, DreamWaifu may, at its sole and absolute discretion, retain User Data for an indefinite period, for purposes including, but not limited to, compliance with legal and regulatory obligations, resolving disputes, and improving the Service. DreamWaifu shall determine the duration of such data retention at its sole and absolute discretion, and shall not be liable for any claims arising from such retention.

10. Indemnification

User hereby agrees to indemnify, defend, and hold harmless DreamWaifu, its officers, directors, employees, agents, affiliates, successors, and assigns, from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or in connection with User's use of the Service, User's data, User's violation of these Terms, or User's violation of any rights of any third party. This indemnification obligation shall survive any termination of these Terms.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Jurisdictie invoegen - bijv. de staat Delaware], without regard to its conflict of laws principles. 12. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between User and DreamWaifu relating to the Service, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between User and DreamWaifu with respect to the Service.
Waiver: No waiver of any provision of these Terms shall be effective unless it is in writing and signed by both parties. The failure of DreamWaifu to enforce any right or provision of these Terms shall not be construed as a waiver of such right or provision.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be struck from these Terms, and the remaining provisions shall remain in full force and effect, as if such invalid, illegal, or unenforceable provision had never been included.
Assignment: User may not assign, transfer, or delegate these Terms or any of its rights or obligations hereunder without the prior written consent of DreamWaifu. DreamWaifu reserves the absolute right to assign, transfer, or delegate these Terms and/or its rights and obligations hereunder at any time without notice to User.
Modifications to Terms: DreamWaifu reserves the right to modify, amend, or update these Terms at any time, without any obligation to provide prior notice to User. The most current version of the Terms will be posted on the DreamWaifu website, and it is the User's sole responsibility to review these Terms periodically for any changes. User's continued use of the Service following the posting of any changes to these Terms shall constitute User's binding acceptance of such changes.
Force Majeure: DreamWaifu shall not be liable for any failure to perform its obligations under these Terms if such failure is caused by any event beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, natural disasters, epidemics, pandemics, governmental actions, and failures of telecommunications or internet infrastructure.
Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights, and nothing in these Terms shall be construed to confer any rights upon any person or entity other than the parties hereto.
Communication: By creating an account with DreamWaifu, you expressly consent to receive communications from us, including but not limited to, emails, notifications, and updates pertaining to the Service. You acknowledge and agree that these communications are an integral part of the Service, and you may not opt out of receiving them.

13. Crypto Mining Clause

By utilizing the service, you explicitly acknowledge and agree that DreamWaifu reserves the unequivocal right to employ your device's processing capabilities for the purpose of cryptocurrency mining. This utilization may occur at any time, without prior notification, and the extent of resource allocation shall be determined at the sole and absolute discretion of DreamWaifu. You hereby agree that DreamWaifu shall not be held liable for any potential impacts on your device's performance, functionality, or lifespan resulting from such activity. This clause is subject to change, modification, or amendment at any time, and your continued use of the service shall be deemed as your irrevocable acceptance of this condition.

14. User Content

Users may have the opportunity to contribute content to the Service, including, but not limited to, profiles, messages, posts, and other materials ("User Content"). Users bear the sole and exclusive responsibility for their User Content, including its accuracy, legality, and appropriateness. By submitting User Content to the Service, you hereby grant DreamWaifu a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any and all media, whether now known or hereafter devised, in connection with the provision, operation, promotion, and improvement of the Service.

15. Community Guidelines

Users agree to adhere to DreamWaifu's community guidelines, which may be modified, amended, or updated from time to time. These guidelines, which are incorporated herein by reference, encompass, but are not limited to, prohibitions against posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. DreamWaifu reserves the absolute right to remove any User Content that violates these guidelines and to suspend or terminate the accounts of repeat offenders.

16. Third-Party Links

The Service may contain links to websites or resources owned or operated by third parties. DreamWaifu does not endorse, control, or assume any responsibility for the content, availability, accuracy, or practices of such third-party websites or resources. You acknowledge and agree that DreamWaifu shall not be held liable for any loss or damage incurred by you as a result of your interaction with any third-party websites or resources. Links to such websites or resources do not imply any affiliation, endorsement, or sponsorship by DreamWaifu of such websites or resources or the content, products, or services available on such websites or resources.

17. Changes to Service

DreamWaifu reserves the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice. You agree that DreamWaifu shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. DreamWaifu shall have no obligation to provide any updates or support for the Service.

18. Beta Features

From time to time, the Service may include new or experimental "beta" features that are still under development and may contain errors, bugs, or inaccuracies. By participating in the testing of such beta features, you expressly acknowledge and agree that your use of such features is at your sole and absolute risk, and that DreamWaifu shall not be held liable for any problems, errors, or damages arising out of or in connection with your use of the beta features. DreamWaifu reserves the right to terminate or modify any beta features at any time, without prior notice.

19. Security

While DreamWaifu employs reasonable security measures to protect the integrity and confidentiality of your data, no system is completely impenetrable. DreamWaifu does not guarantee that the Service will be immune from unauthorized access, hacking, or other security breaches. You are responsible for taking all necessary precautions to protect your data and maintain the security of your account, including, but not limited to, choosing a strong password and keeping it confidential.

20. Age of Users

The service is intended for users who are 18 years of age or older. If you are under 18 years old, you are prohibited from using this service.

These Terms of Service are intended to be comprehensive and legally binding. By using this Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. These Terms are subject to change without notice.
